Terms and Conditions

1. Introduction

Welcome to LeanMVP. These Terms and Conditions ("Agreement") govern the provision of our services. By engaging with LeanMVP ("Company," "we," or "us") for any services, you ("Client") agree to be bound by this Agreement.

2. Definitions

• "Services": The specific services provided by LeanMVP, as detailed in the respective sections below.
• "Deliverables": The tangible outputs or results to be delivered to the Client as specified in the Scope of Services.
• "Confidential Information": All non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential.

3. Fractional Team Services

3.1 Scope of Services

LeanMVP will provide access to specialized professionals on a part-time or project basis to support the Client's specific needs. The exact nature, duration, and scope of these services will be detailed in a separate Statement of Work ("SOW") agreed upon by both parties.

3.2 Engagement Terms

• Assignment: LeanMVP will assign professionals ("Team Members") with the requisite skills and experience to fulfill the Client's requirements as outlined in the SOW.
• Duration: The engagement's duration will be specified in the SOW. Extensions or modifications require mutual written consent.
• Client Responsibilities: The Client agrees to provide necessary resources, access, and information to enable Team Members to perform their duties effectively.

4. Software Development Services

4.1 Scope of Services

LeanMVP agrees to design, develop, and deliver software solutions as specified in a separate SOW agreed upon by both parties.

4.2 Deliverables

The Deliverables, including software applications, documentation, and related materials, will be detailed in the SOW.

4.3 Project Timelines and Milestones

Project timelines, including key milestones and delivery dates, will be outlined in the SOW.

4.4 Intellectual Property Rights

• Ownership: Upon full payment, LeanMVP assigns to the Client all rights, title, and interest in and to the Deliverables.
• Pre-existing Materials: LeanMVP retains ownership of any pre-existing materials and tools used in the development process but grants the Client a non-exclusive, royalty-free license to use such materials as part of the Deliverables.

5. Refund Policy

5.1 Non-Refundable Payments

All payments are non-refundable unless otherwise explicitly determined by LeanMVP.

5.2 Approved Refunds

Refunds, if approved, will be processed to the original payment method.

Circumstances for refunds are at LeanMVP's sole discretion and may include:

• Billing errors
• Exceptional situations reviewed case-by-case

6. General Provisions

• Limitation of Liability: To the fullest extent permitted by law, LeanMVP's liability under this Agreement shall be limited to the amount paid by the Client for the services in the preceding 12 months.
• Governing Law and Dispute Resolution: This Agreement shall be governed by the laws of India. Any disputes arising under this Agreement shall be resolved through arbitration in Bengaluru, Karnataka.
• Amendments: Any amendments to this Agreement must be in writing and signed by both parties.
• Assignment: Neither party may assign this Agreement without the prior written consent of the other party.
